1. Acceptance of Terms

By accessing and using the Basely platform, you agree to these Terms of Use. If you do not agree with any of the terms described herein, please do not use our services.

2. Service Description

Basely is a website creation platform using artificial intelligence. We offer tools to generate, edit and publish professional websites through natural language commands and visual interfaces.

3. Registration and Account

To use our services, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities conducted under your account. Notify us immediately of any unauthorized use.

SMS program

Basely sends transactional SMS alerts about your own account and your orders, such as a client accepting your quote. You join by entering your mobile number and ticking the SMS consent box in your account settings; the box is unchecked by default. Message frequency varies with activity on your account, typically no more than a few messages each month. Message and data rates may apply. Reply STOP to any message to cancel, and you will receive no further messages. Reply HELP for help, or write to support@baselyapp.com. Carriers are not liable for delayed or undelivered messages. Identity verification on contracts

Identity verification checks, before signing, an official photo ID and a selfie of the person signing the contract. It is done by a verification partner and serves as proof of who signed.

Every proposal has an "Identity verification" option. For contracts under $1,000 (R$5,000 in reais), it starts off and the seller chooses whether to turn it on. For contracts of $1,000 or more (R$5,000 or more in reais), it is required, starts on and cannot be turned off: it protects you and your client. The amount considered is the contract total for the first cycle, plus the setup fee, if any.

Each completed verification costs $7.99 (R$41.90 in reais). Only a verification that the signer completes is charged. If they do not complete it, nothing is charged. The same verification is never charged twice for the same contract.

By default, the seller pays, as usage on their plan invoice. In the proposal, the seller can choose to pass the cost on to the client: in that case the proposal shows a $7.99 (R$41.90 in reais) item paid by the client together with the rest, and the seller does not pay for the verification of that contract.

Identity verification is charged per use. It shows in the add-on catalog and in the "pay only when you use it" list, when creating the proposal and in the proposal sent to the client. It is not part of the fixed price of any plan.

Basely may change the price or the threshold with 30 days' notice. A change does not reach contracts already sent.

Personal data: before the verification starts, the signer sees what it is for and gives consent at that moment; without consent, the verification does not start and a contract that requires it cannot be signed. The document image, the selfie and the data read from the document stay with the verification partner (Stripe Identity), not with Basely. According to Stripe, biometric identifiers are removed from its systems within one year, and the other information (such as the document and selfie images) is kept for 7 years, unless deleted sooner. Basely keeps only the verification result, the date and the verification reference, never the image or the document number, for the same retention period as contracts: 10 years.

4. Acceptable Use

By using Basely, you agree to:

• Not create illegal, offensive content or content that violates third-party rights
• Not use the platform for fraudulent or deceptive purposes
• Not attempt to access systems or data of other users
• Not overload the platform infrastructure with abusive usage
• Respect the limits of your subscription plan

5. Intellectual Property

Websites created through the platform belong to you. However, the technology, source code, design and Basely brand remain the exclusive property of EmpireGlobal Group. You may not reproduce, distribute or create derivative works from our platform.

6. Plans and Payments

Basely offers free and paid plans. Paid plans are billed through Stripe. You can cancel whenever you want, right in the panel: if you haven't used the service yet and you cancel within 48 hours of the charge, the amount is refunded in full and access ends right away. After that window, or if the service has already been used, billing stops and access continues until the end of the period already paid, with no refund. Servers and domains are not refundable, because the provider charges the whole period upfront. We reserve the right to change prices with 30 days' notice.

7. Service Availability

We strive to keep the platform available 24/7, but we do not guarantee uninterrupted availability. We may perform scheduled maintenance and, in exceptional cases, experience temporary unavailability.

8. Limitation of Liability

Basely is provided "as is". We are not liable for direct, indirect, incidental or consequential damages arising from the use or inability to use the platform, including loss of data or profits.

9. Termination

We may suspend or terminate your account if there is a violation of these terms. You may terminate your account at any time through your profile settings or by contacting us.

10. Changes to Terms

We reserve the right to modify these terms at any time. Significant changes will be communicated by email or notification on the platform. Continued use after changes constitutes acceptance of the new terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Brazil for users residing in Brazil, and by the laws of the State of Delaware (USA) for users residing in the United States. Disputes will be resolved in the competent courts of the user's place of residence.

13. CCPA Notice at Collection (California Residents)

For California residents, the categories of personal information collected and the purposes are listed in our Privacy Policy. We do not sell personal information for monetary consideration.
